Intagly Scope of Work (SOW) Policy

This Scope of Work Policy (the "Policy") governs all project-based design, 3D modeling, and engineering engagements conducted via the Intagly platform's Engineer on Demand (Engineer Chat) ecosystem. By accepting a quote or initiating a project, the Client, the Maker (Engineer), and Intagly agree to be bound by these terms.

1. How a Scope of Work (SOW) is Formed

1. In-Platform Only: The SOW is formed strictly within the Intagly platform. It consists of the formal written specifications, file attachments, system-generated SOW summaries, and quotes exchanged inside the Intagly chat interface.
2. Off-Platform Communications Void: Any discussions, agreements, or promises made outside of the Intagly platform (e.g., via phone call, external email, text message, or third-party tools) are legally void and will not be considered in any dispute, review, or scope evaluation.
3. Fixed  Scope: Once the Client pays a Quote, the SOW is fully locked and fixed. Revisions, additional features, or alternative designs not explicitly documented in the paid SOW are considered out of scope and require a separate paid Quote.

2. Deliverables, Milestones, and Timelines are construed in accordance with the laws of the state where Intagly is incorporated

1. Deliverables: The Maker is responsible for delivering the specific files (e.g., .stl, .step, .obj), 3D prints, or services explicitly detailed in the SOW.
2. Timeline Estimates: Milestone and completion dates listed in the SOW are estimates, not guarantees. 3D printing and engineering are iterative processes. Timelines automatically adjust based on:
    
   • The date payment is cleared.
    
   • The speed and clarity of the Client's feedback.
 
3. Client Duty to Cooperate: The Client must provide clear, concise, and timely feedback (within 48 hours of a Maker's request). Prolonged delays or vague feedback by the Client will automatically extend estimated delivery deadlines.

3. Project Completion & The 4-Day Review Rule

1. Maker Completion: When the Maker believes all criteria of the locked SOW have been satisfied, they will officially submit the deliverables and mark the project as "Pending Complete".
2. The 4-Day Review Window: Upon submission, the Client has exactly four (4) calendar days to review the deliverables.
3. Objection Procedure: Any rejection of completeness must be raised in writing inside the Intagly chat within this 4-day window. To be valid, a rejection must be highly specific and document how the deliverables failed to meet the explicit terms of the locked SOW.
4. Auto-Acceptance: If the Client does not raise a valid, written, SOW-based objection within the 4-day window, the project is automatically deemed accepted and complete (Stage 5). Once a project is completed or auto-accepted:
   • No further revisions, modifications, disputes, or refunds are permitted.

4. Intagly Administrative Rights

To maintain a safe, fair, and functional marketplace, Intagly retains administrative authority to intervene in ongoing projects under the following conditions:

A. Right to Administratively Mark Complete

Intagly reserves the right, in its sole discretion, to step in and administratively mark any project as complete and release funds to the Maker if:

1. The Maker has provided all physical and digital deliverables explicitly defined in the locked SOW.
2. The Client is withholding approval based on out-of-scope requests, subjective aesthetic preferences not defined in the SOW or demands for post-processing/labor not originally agreed upon.
3. The Client has become unresponsive or refuses to engage in constructive progress.

B. Right to Administratively Cancel & Terminate

Intagly reserves the right to unilaterally cancel and terminate any project at any stage if:

1. Deadlock: The Client and Maker reach an unresolvable impasse that prevents the project from progressing.
2. Behavioral Breach: Either party engages in abusive, toxic, disrespectful, or harassing behavior in the chat.
3. SOW Deviation: The Maker is consistently unable or unwilling to meet the explicit terms of the SOW.

In the event of an administrative cancellation, Intagly will act as final arbiter to determine a fair division of funds, which mayinclude a full refund, a partial refund, or a partial payout to the Maker basedon work completed.

5. Dispute Resolution & Refunds

1. Strictly Non-Refundable: All payments are 100% non-refundable once a project is completed, auto-accepted, or once services have been delivered in accordance with the locked SOW.
2. Subjective Dissatisfaction: Subjective complaints (e.g., "I don't like how it looks," "I changed my mind," or "I expected it to work differently" when the physical geometry fits the SOW specifications) do not qualify for a refund.
3. Dispute Process: If a Client believes the Maker has failed to deliver the SOW criteria and files an objection within the 4-day review window, Intagly Support will conduct a formal review of the platform chat logs.
4. Finality of Arbitration: Intagly is the sole and final arbiter for all project disputes. Intagly's decision regarding project completion, cancellations, payouts, and refunds is binding and final.

6. Governing Law

This Policy and any SOW agreements shall be governed by and construed in accordance with the laws of the state win which Intagly is incorporated, without regard to its conflict of law rules.

7. Entire Agreement & Acknowledgment

1. Entire Understanding: This Policy, along with the written SOW recorded inside the Intagly platform, constitutes the entire understanding between the Maker, the Client, and Intagly regarding the project. No oral, off-platform, or external agreements shall have any force or effect.
2. Binding Acknowledgment: By using the Intagly platform, engaging in projects, paying invoices, or submitting files, both Clients and Operators acknowledge that they have read, understood, and agree to be fully bound by this Scope of Work Policy.

To better guarantee the final product perfectly aligns with your expectations, keep these key tips in mind before making your payment:

• Ensure all design details, file types, and delivery specifications are explicitly documented in the SOW before paying. If a requirement is not recorded in the SOW, it cannot be enforced under this Policy.
• Clearly supply all relevant dimensions, mating tolerances, weight/fit requirements, and mechanical functions up front so the product can be designed precisely for your needs.
• If your product must mate with specific components or survive specific conditions, state these expectations explicitly to ensure your final product meets your requirements.
