This General Scope of Work Agreement (“Agreement”) governs the relationship between operators (“Operators”) and clients (“Clients”) using the Intagly platform (“Intagly”). By engaging in any project on Intagly, the Operator and Client agree to the following terms:
1.1 The Operator and Client will discuss project requirements directly through the Intagly messaging system.
1.2 The agreed Scope of Work (“SOW”) will consist solely of the written communications, instructions, and agreements recorded within the Intagly platform messaging system.
1.3 The SOW must specify deliverables, milestones, deadlines, and total pricing.
1.4 Once a quote is accepted and payment is made, the SOW is fixed. No additional services, deliverables, or revisions may be added unless agreed in writing within Intagly and paid for separately.
2.1 The Operator will perform services with reasonable skill and care.
2.2 The Operator will deliver the agreed milestones and final deliverables within the agreed timeframe.
2.3 The Operator will mark the project as complete when deliverables have been provided according to the agreed SOW.
3.1 The Client must provide accurate requirements and timely feedback necessary for the Operator to complete the project.
3.2 The Client must review deliverables within the acceptance period defined below.
3.3 The Client may not request services, refunds, or deliverables beyond the agreed SOW.
4.1 When the Operator marks a project as complete, the Client will have four (4) calendar days to review the deliverables.
4.2 The Client must raise any objections in writing through the Intagly messaging system during this review period.
4.3 If no objection is raised within four (4) days, the project will be deemed accepted and complete, with no further claims, refunds, or revisions permitted.
4.4 Any rejection must be specific and limited to work not delivered in accordance with the agreed SOW. Requests for additional or new work are invalid.
5.1 Refunds will not be issued for services that have been delivered in line with the agreed SOW.
5.2 Disputes are limited to whether the Operator delivered the agreed SOW as documented within the Intagly messaging system.
5.3 Any discussions or promises made outside the Intagly platform (including phone, text, or email) are invalid and will not be considered in disputes or refund requests.
6.1 Intagly is a neutral platform facilitating agreements between Operators and Clients.
6.2 Intagly is not a party to the SOW and is not responsible for Operator performance or Client satisfaction beyond the platform’s defined dispute procedures.
7.1 Once a project is accepted (or deemed accepted after four days), it is final.
7.2 No further revisions, refunds, or disputes will be permitted unless expressly agreed in writing on the Intagly platform and paid for separately.
8.1 A project may be cancelled prior to payment and acceptance of a SOW.
8.2 Once payment is made, the project may only be cancelled in accordance with Intagly’s refund and dispute process, which strictly enforces the terms above.
This Agreement shall be governed by and construed in accordance with the laws of the state where Intagly is incorporated, without regard to its conflict of law rules.
This Agreement constitutes the entire understanding between the Operator, Client, and Intagly regarding the Scope of Work process. No oral or off-platform agreements shall have any force or effect.
By using Intagly and engaging in projects, Clients and Operators acknowledge that they have read, understood, and agree to be bound by this General Scope of Work Agreement.
